1. Scope and acceptance
These terms cover AiPlus APIs, model access, and related support supplied under an enterprise order. Anyone accepting for a customer confirms authority to bind that organization. Signed orders, master agreements, or DPAs prevail over this draft.
2. Enterprise eligibility and activation
Service is for enterprises and authorized personnel only, with no public registration or self-service account opening. A designated account manager assesses scope and coordinates activation under agreed orders and technical arrangements. Customers manage authorizations, credentials, and users.
3. Service, suppliers, orders, and fees
AiPlus provides model access, routing, governance, and agreed enterprise support and may depend on third-party model or infrastructure suppliers. Models, capacity, regions, support, pricing, taxes, payment, service levels, term, and renewal are governed by commercial documents. This draft sets no automatic renewal, refund policy, or amount.
4. Acceptable use
Customers must not use services unlawfully, infringe rights, harm others, bypass security or access controls, distribute malware, disrupt systems, or conduct unauthorized security testing. Customers are responsible for users, inputs, use cases, permissions, and applicable supplier rules.
5. Customer inputs and AI outputs
Customers retain rights they lawfully hold in inputs and permit processing needed to provide service. Outputs may be inaccurate, incomplete, biased, or similar to others’ outputs and do not replace professional judgment. Human review is required before important decisions, publication, or high-risk use. Ownership and supplier restrictions are subject to orders and supplier terms.
6. Privacy, DPA, confidentiality, and security
Personal-data processing follows the applicable privacy policy, order, and DPA. Each party protects confidential information and follows agreed security measures. Roles, instructions, security schedules, incident response, retention, and deletion require legal approval in the applicable documents.
7. Intellectual property and third-party services
Each party retains its pre-existing technology, brands, content, and materials. Use does not transfer rights in AiPlus services or documentation. Third-party models and services remain subject to their own terms, availability, and limitations.
8. Suspension and termination
Service may be limited or suspended where needed for security, unlawful use, material breach, supplier restrictions, or service protection, subject to commercial documents. Termination rights, notice, cure, export, and deletion consequences must be defined in signed documents.
9. Disclaimers, liability, and indemnity
To the extent permitted by law, warranties, disclaimers, liability allocation and caps, and indemnity duties must be specified in the final agreement. This draft sets no monetary cap or indemnity scope and makes no unapproved exclusion of statutory rights.
10. Changes, governing law, disputes, and contact
Change notices, effective date, contracting entity, governing law, and dispute forum or procedure await legal approval. Existing enterprise customers may raise contract questions through their designated account manager; an official legal contact must be configured before publication.
